End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Metrix ("Licensor") for the use of Metrix software products including Metrix Inventory (for iOS and Windows), Metrix Chain, and Metrix Shooting Range ("Software"). By installing or using the Software, you agree to be bound by the terms of this EULA.
1. Grant of License
Upon purchase, the Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software on the number of devices specified by your license type, subject to the terms of this EULA.
This license is perpetual for the version purchased. You are entitled to use the Software indefinitely and receive all updates within the same major version at no additional cost.
2. License Types
Perpetual License
A license that grants you the right to use the Software indefinitely. Includes all minor and patch updates within the purchased major version. Major version upgrades may require an additional purchase at a discounted rate. Available for select products.
Subscription License
A recurring license that grants access to the Software and associated cloud services for the duration of the subscription period. Access to the Software and cloud features requires an active subscription. Available for select products.
Trial License
A time-limited license for evaluation purposes. Trial licenses may have reduced functionality. Converting a trial to a perpetual license requires a purchase.
3. Activation & Device Limits
Each license key allows activation on a limited number of devices as specified at the time of purchase. You may deactivate a device to free up an activation slot through your account dashboard.
Activation requires an internet connection to validate your license. Some products may require periodic online validation or a persistent connection for cloud-based features.
4. Restrictions
You may not:
- •Copy, modify, or distribute the Software except as expressly permitted
- •Reverse engineer, decompile, or disassemble the Software
- •Rent, lease, lend, sell, or sublicense the Software or license keys
- •Remove or alter any proprietary notices, labels, or marks
- •Use the Software for any purpose that violates applicable law
- •Share license keys with third parties or publish them publicly
5. Data Ownership
All data you create, import, or manage within the Software remains your property. The Licensor does not claim any ownership rights over your data. Your data is stored locally on your device(s) and is not transmitted to our servers during normal operation.
6. Updates & Support
Your license includes all updates within the same major version. Updates may include bug fixes, performance improvements, and minor feature additions. The Licensor is not obligated to provide updates indefinitely.
Email support is provided to all licensed users. Response times and support scope may vary. Critical security updates will be made available for supported versions at no additional cost.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
8. Limitation of Liability
IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE LICENSE.
9. Termination
This EULA is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies.
The Licensor may revoke a license key if it is found to be in violation of this agreement. In such cases, the Software will cease to function on devices where the revoked key was activated.
10. Governing Law
This EULA shall be governed by and construed in accordance with applicable United States law. Any disputes arising under this EULA shall be resolved in the courts of competent jurisdiction.
